Terms of Service — Truvantis EOM Close Assistant

1. Acceptance

The Truvantis EOM Close Assistant ("the Application") is internal software owned and operated by Truvantis, Inc. ("Truvantis"). By using the Application, you ("the user") agree to these terms. If you do not agree, do not use the Application.

2. Internal use only

The Application is provided exclusively for use by authorized Truvantis personnel in connection with Truvantis' own financial close process. It is not licensed, distributed, or made available to the public or to any third party. Access is limited to individuals expressly authorized by Truvantis.

3. Permitted use

You may use the Application only to:

Connect Truvantis' own accounts on supported platforms (including Intuit QuickBooks Online).
Read financial and operational data needed for month-end close.
Prepare, document, and post journal entries to Truvantis' own QuickBooks Online company, subject to human review and approval.

You may not use the Application to access any account or data that does not belong to Truvantis, or for any purpose other than Truvantis' internal accounting operations.

4. Authorization and credentials

Use of the Application requires valid authorization to the connected systems. You are responsible for safeguarding the credentials and authorization tokens used by the Application and for ensuring that only authorized personnel can run it.

5. Financial responsibility

The Application assists with the preparation of journal entries but does not replace professional judgment. Every journal entry must be reviewed and accepted by an authorized person before it is posted. Truvantis remains solely responsible for the accuracy and completeness of its financial records.

6. Third-party platforms

The Application interacts with third-party platforms through their official APIs. Your use of those platforms is also governed by their respective terms and policies. Truvantis is not responsible for the availability, accuracy, or behavior of those third-party platforms.

7. No warranty

The Application is provided "as is", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Truvantis does not warrant that the Application will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Truvantis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from the use of, or inability to use, the Application.

9. Changes

Truvantis may modify or discontinue the Application, or update these terms, at any time. Material changes will be reflected by the "Last updated" date above.
